Terms of Use
These Terms of Use ("Terms") govern your use of Shovia, including the website shovia.io and the Shovia mobile app ("Shovia," "the service"). Shovia is provided by Dvasha SIA, registration number 44103061353, legal address Valmieras nov., Vecates pag., Vecate, "Zemdegas" - 13, LV-4211, Latvia ("we," "us"). By creating an account or using the service you agree to these Terms. If you use Shovia on behalf of a company, you confirm you are authorised to bind that company. If you do not agree, do not use the service.
1. What Shovia does
Shovia helps sales teams prepare for and review conversations. On the website you can research prospects and companies, build conversation plans and manage your team. In the app you can record a live conversation from your device's microphone and receive a speaker-separated transcript, a sentiment read and action items. The service uses Shovia's own processing and third-party AI providers. See the Privacy Policy for how data is processed.
2. Business use and team accounts
Shovia is intended for business use, not for consumers. Access works through team accounts:
- A company creates a team on shovia.io, chooses a number of seats and pays for them. The person who creates the team is its administrator.
- The administrator can invite colleagues, switch seats on or off, remove members and manage billing. Each member signs in to the website and the app with their own email and password.
- The administrator is responsible for who is given access, for ensuring members follow these Terms, and for the company's use of the service. The app itself does not sell subscriptions; access is provided through the company's team account.
- You must keep your login details confidential and tell us promptly if you think your account has been compromised. You are responsible for activity under your account.
3. Subscription, billing and cancellation
- Price and billing: the price per seat is shown on the Pricing page, in euros. Subscriptions are billed monthly in advance, per seat, through Stripe. Prices may exclude VAT or other taxes, which are added where applicable.
- Free trial: a new team can start one 14-day free trial, with up to 5 active seats while the trial runs. Each team, and each administrator email address, is eligible for one trial only; cancelling and subscribing again, or creating a new team, does not give another trial. Unless cancelled before the trial ends, the subscription continues automatically and the payment method on file is charged. We may refuse or end a trial that is being misused, for example by creating repeated trials with different email addresses.
- Changing seats and cancelling: the administrator can change the number of seats, update the payment method, download invoices or cancel at any time using Manage billing on the Team page. Cancellation takes effect at the end of the current billing period; we do not refund periods already paid unless required by law.
- Non-payment: if a payment fails, access continues while our payment provider retries the card (about two weeks) and the administrator is asked to update the payment method. If the payment is still not resolved, the subscription is cancelled and the team's members lose access.
- Price changes: we may change prices with reasonable advance notice. The new price applies from the next billing period.
4. Your responsibility when recording others
In particular, you agree that:
- You will inform the other participants that the conversation is being recorded before or as you start the session, and obtain their consent where required.
- You are responsible for knowing and following the laws that apply to recording conversations in your location, including places where all parties must consent (this varies by country and, within the United States, by state).
- You will not use Shovia to record a conversation where you do not have the right to do so, or in a way that violates another person's reasonable expectation of privacy.
- You will not use Shovia to record or analyse conversations involving illegal activity, or to harass, stalk or harm anyone.
Shovia is a tool. We are not a party to the conversations you record, and we are not responsible for how you use recordings, transcripts, research or analysis results generated with the service.
5. Your content
You and your organisation keep ownership of the content you put into Shovia (recordings, transcripts, notes, prospect information) and of the results generated for you. You give us the right to process that content only to provide, secure and support the service, as described in the Privacy Policy. You can delete calls in the app at any time; call audio is deleted automatically after 90 days.
6. Accuracy of transcripts, research and analysis
Transcription, speaker separation, sentiment analysis, action items, company and prospect research and conversation plans are generated automatically by AI and third-party data sources. They can contain errors, outdated information, misattributed speakers, mistranscribed words and inaccurate readings. Do not rely on Shovia's output as an official record of a conversation, for legal purposes or for decisions where accuracy is critical, without checking it yourself against the original audio and reliable sources.
7. Acceptable use
You agree not to: use the service for any unlawful purpose; attempt to disrupt, reverse-engineer, probe or gain unauthorised access to Shovia's systems or other users' data; share your login with people outside your team; resell or sublicense the service; send automated or excessive requests; or use the service to process someone else's voice or personal data at scale without their knowledge. We may rate-limit, suspend or terminate accounts that break these rules.
8. Third-party services
Shovia depends on third-party services, including OpenAI (AI processing), Stripe (payments), Render (hosting) and business-data providers. We do not guarantee that these services will be available or accurate at all times. Your use of Stripe is also subject to Stripe's terms.
9. Service availability
We aim to keep Shovia available but do not guarantee uninterrupted service, or that any given session will process successfully; a failed session's audio may be lost. We may change or discontinue features, and will give reasonable notice of material changes where we can.
10. Intellectual property
Shovia, its software, design, name and logo belong to Dvasha SIA or its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the service for your internal business purposes while your access is active. No other rights are granted.
11. Suspension and termination
You may stop using Shovia at any time, and the administrator can cancel the subscription as described above. We may suspend or end access if you breach these Terms, if payment is not made, or if required by law. On termination, the right to use the service ends; we handle remaining data as described in the Privacy Policy.
You can delete your account at any time in the app or on shovia.io after re-entering your password; this permanently deletes your data. A team administrator must first remove the other members of the team. When the last member of a team deletes their account, the team and its subscription are cancelled and deleted. Deleting an account does not refund payments already made.
12. Disclaimer of warranties
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including as to accuracy, reliability, availability or fitness for a particular purpose, to the extent permitted by law.
13. Limitation of liability
To the maximum extent permitted by law, Dvasha SIA is not liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or business opportunities, arising from your use of the service, including damages arising from recording conversations without proper consent or from relying on inaccurate transcripts, research or analysis. Our total liability for any claim relating to the service is limited to the amount you paid for the service in the 12 months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.
14. Governing law
These Terms are governed by the laws of the Republic of Latvia. Disputes are subject to the courts of Latvia, without affecting any mandatory rights you may have under the law of your country.
15. Changes to these Terms
We may update these Terms as Shovia changes. The effective date above shows the latest version. For material changes we will make reasonable efforts to notify team administrators, for example by email or in the service. Continued use after an update means you accept the revised Terms.
